Welcome to EZIT Club! These Terms of Service (“Terms”) govern your use of our website and mobile application (collectively referred to as “App”), and by accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our App.

1. Use of the App

You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our App. By using our App, you represent and warrant that you are of legal age and have the capacity to enter into a binding contract.

2. Account Registration

To use certain features of our App, you may be required to register for an account. You agree to provide accurate and complete information during the registration process and to keep your account information up-to-date at all times. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Privacy

Where you request or book a service involving an independent third-party service provider through the App, you acknowledge that EZIT may share relevant information provided by you with the applicable service provider to facilitate and deliver the requested service, subject to applicable privacy and data protection laws and our Privacy Policy. The service provider may separately process your information in connection with the services it provides to you and may be subject to its own privacy obligations and terms.

4. User Content

You may be able to submit content to our App, such as text, images, or other materials (“User Content”). By submitting User Content, you grant EZIT Club a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. You represent and warrant that you own or have the necessary rights to submit User Content, and that your User Content does not violate any third-party rights, including copyright, trademark, or privacy rights.

5. Intellectual Property

All content and materials available on the App, including but not limited to text, graphics, logos, images, videos, and software, are the property of EZIT Club or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the App for your personal and non-commercial use only. You may not use, reproduce, modify, adapt, distribute, or display any content from the App without our prior written consent.

6. Prohibited Conduct

You agree not to use the App for any unlawful or unauthorized purpose, including but not limited to:

• Violating any applicable laws, regulations, or third-party rights
• Interfering with or disrupting the integrity or performance of the App
• Attempting to gain unauthorized access to the App or any other accounts or systems
• Engaging in any activity that may harm, harass, or defraud other users or third parties
• Uploading or transmitting any viruses, malware, or harmful code
• Impersonating any person or entity, or falsely representing your affiliation with any person or entity

7. Disclaimer of Warranties

EZIT may facilitate access to or connect you with independent third-party service providers for certain professional or specialised services. Such service providers operate independently and are not agents, employees, partners, or representatives of EZIT unless expressly stated otherwise. 

Where you choose to engage directly with a third-party service provider, including through a separate engagement letter, mandate, digital agreement, or other arrangement, the services provided under that direct engagement shall be governed by the terms agreed between you and the relevant service provider. The service provider shall be responsible for the services it provides directly to you, including the applicable scope, professional obligations, representations, deliverables, fees, timelines, and applicable legal and regulatory requirements.

8. Limitation of Liability

Where a service is provided directly by an independent third-party service provider under a separate engagement, EZIT shall not be responsible for the quality, performance, professional advice, representations, deliverables, contractual obligations, fees, timelines, or legal or regulatory compliance of that third-party service provider, except to the extent expressly undertaken by EZIT under these Terms or a separate agreement with you. 

9. Indemnification

You agree to indemnify, defend, and hold harmless EZIT Club and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or in connection with your use of the App, your User Content, or your violation of these Terms or any applicable laws, regulations, or third-party rights.

9A. Third-Party Service Providers and Direct Engagements

The involvement of EZIT in facilitating such connection does not make the third-party service provider an agent, employee, partner, or representative of EZIT. The third-party service provider remains independently responsible for the services it provides. 

You may, where applicable, be required to enter into a separate engagement letter, mandate, digital agreement, or other contractual arrangement directly with the relevant third-party service provider before the service is provided. Any such direct engagement is between you and the relevant service provider and may contain additional terms relating to the scope of services, fees, timelines, deliverables, refunds, professional obligations, and applicable legal or regulatory requirements. 

Where you directly engage a third-party service provider, EZIT is not a party to that separate engagement and shall not be responsible for obligations arising solely from that direct engagement, except to the extent expressly undertaken by EZIT. 

The relevant third-party service provider is responsible for complying with applicable privacy and data protection requirements including but not limited to DPDPA in relation to personal information processed by it for the services it provides directly to you. 

Nothing in this Section limits any rights or remedies you may have against EZIT in relation to services or obligations that EZIT has expressly undertaken to provide to you. Any breach of the privacy policy or confidentiality of Personally Identifiable Information (PII) is the sole responsibility of the third party you directly engage with. EZIT is completely indemnified from these matters. Customers acknowledge that the concerned issues are directly dealt with by the third party that they have agreement with. 

10. Modifications to the App and Terms

EZIT Club reserves the right to modify or discontinue the App, or to modify these Terms, at any time without prior notice. You are responsible for regularly reviewing these Terms for any updates or changes. Your continued use of the App after any modifications to these Terms constitutes your acceptance of such modifications.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Telangana, India. Any dispute arising out of or in connection with these Terms or your use of the App shall be resolved exclusively in the courts of Telangana, India with competent jurisdiction.

12. Entire Agreement

These Terms constitute the entire agreement between you and EZIT Club regarding your use of the App and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written.
